In Detail

Accounting for Fundraising and Due Diligence: how it works and what to expect

What investors' accountants check first

Diligence teams usually begin with three comparisons: revenue in the books against revenue in GST returns, cash in the books against bank statements, and shareholding in the cap table against company filings. A mismatch in any one slows the deal and may reduce the price.

We run these three comparisons before the investor does. Where a difference is genuine, such as timing of revenue, we document the reason in a short note and keep the supporting working paper, so the explanation is ready on the day it is asked for.

Keeping the data room useful after the round closes

After closing, investors expect monthly reporting against the plan. If the data room was built once and abandoned, the next round starts with another clean-up. We keep it updated with each month's accounts, filings and board papers.

This also helps the company, because a ready data room can support a bank facility, an acquisition offer or a partner's due diligence without a separate project. Legal opinions, valuation reports and the term sheet itself remain the job of lawyers and valuers.

FAQ

Frequently Asked Questions

When should a start-up start preparing for diligence?

Ideally six months before raising, because books, filings and the cap table need time to be corrected. A company that begins after receiving a term sheet can still prepare in about 30 days if its records are mostly complete, but little room remains for errors.

Can you prepare a financial model for investors?

Yes. We build a monthly projection model linked to actual books, with assumptions stated and a sensitivity view. The model is reviewed by the CA, but the business plan and growth assumptions remain the founders' responsibility, and valuation is done by an independent valuer.

Do you handle accounting for foreign investment received by the company?

Yes. We record the inward remittance, the share issue and related filings in the books, and we keep supporting bank advice and valuation documents indexed. The FEMA filings themselves are available under our separate FEMA compliance service, so the records and filings reconcile.

Who prepares and signs the work?

SVT & Associates is an ICAI-registered Chartered Accountancy firm. Every account is supervised and reviewed by CA Rinky Vishwakarma, Fellow Chartered Accountant, ICAI Membership No. 177507. Where a certificate or attest report is issued, it is signed by a practising CA and carries a UDIN.

How quickly can you start?

After a short consultation and receipt of your documents, onboarding usually takes three to five working days, and the first monthly books are delivered within seven days of receiving complete data. If a filing deadline is close, we handle that first and then complete the wider setup.

Is my financial data confidential?

Yes. As a Chartered Accountancy firm we are bound by the ICAI Code of Ethics on professional confidentiality. Your records are accessed only by staff working on your account, are shared through controlled folders or your own software, and are never given to third parties without your written consent or a legal requirement.

Which accounting software do you work in?

We work in your existing software, whether Tally Prime, Tally ERP 9, Zoho Books, QuickBooks or Busy, so you do not need to switch. Your licence and data remain yours at all times, and a full export of your books is available whenever you ask for it.

Are your fees fixed, and are there hidden charges?

Fees are fixed and confirmed in writing after we review one sample month of your data. Our fee and GST are shown on separate lines, and accounting has no government fee. Work outside the agreed scope, such as a backlog clean-up, is priced separately and agreed with you before it begins.

Do you serve clients outside Mumbai?

Yes. Most of our work is delivered online across India, using shared folders, your accounting software, video calls and WhatsApp. Our office is in Goregaon West, Mumbai, where local clients can meet the CA in person, but no visit is needed to start or continue the service.

Can I stop the service if I am not satisfied?

Monthly plans are not locked in, and you can end the service by giving us notice. You will receive your books, reconciliations and working papers in an exportable form. The Refund Policy linked in the footer explains how any advance payment is treated.
