Quick answer
A stock certificate for a business sale, partner retirement or firm dissolution is a CA-signed statement of stock quantity and value on the cut-off date agreed by the parties. It gives buyers, sellers and partners one agreed stock figure to settle accounts, instead of each side relying on its own estimate.

One agreed stock figure when ownership changes
When a proprietor sells a business, a partner retires or a firm is dissolved, stock is often the most argued-over asset. The seller wants it valued high, the buyer or continuing partners want it low, and the books may show a figure nobody trusts. A stock certificate as on the agreed cut-off date, ideally after a physical count witnessed by both sides, settles the quantity. The valuation basis (cost, the lower of cost and realisable value, or an agreed price list) should be written into the agreement before counting starts.
Tax follows the numbers. In a business transfer, the value of stock affects the consideration and the income computation, and GST can apply to stock transferred in some structures. When a partner retires or a firm dissolves, the stock value changes each partner's settlement, and income-tax law can treat stock received by a partner as transferred by the firm at fair market value. We certify the figure; have your tax adviser review the structure.
